Welcome to the StemBook website (the “Site”).  The Site is published by the Harvard Stem Cell Institute (http://www.hsci.harvard.edu/) (“HSCI”), in collaboration with Massachusetts General Hospital MIND Informatics Group.  By accessing the Site (including all pages within http:// www.stembook.org), you agree to comply with the following Terms of Use. HSCI reserves the right to modify these Terms of Use from time to time or terminate the Site for any reason. You are responsible for reviewing these Terms of Use regularly to be aware of any modifications. Your continued use of the Site indicates your acceptance of any modifications.

Use of Site Content
The content of this Site, including but not limited to all text, images and data (collectively, “Site Content”) is protected by U.S. copyright laws.  Site Content may be copied, distributed and displayed only in accordance with the terms of the Creative Commons Attribution 3.0 Unported License (found at http://creativecommons.org/licenses/by/3.0/), unless otherwise specified by HSCI.  You may not use the Site for any illegal or unauthorized purpose. You agree to comply with all U.S. laws and regulations regarding online conduct, acceptable content and export control of data. You are solely responsible for your conduct and any information, images, links and other materials you may submit or post to the interactive portions of the Site.

Use of Interactive Areas
The Site contains online forums (“Interactive Areas”) where registered users may post comments (collectively, “User Content”).  Interactive Areas provide an unrestricted forum for the exchange of ideas and information by users.  We review User Content before posting, but solely for the limited purpose of removing “Spam,” personal attacks and inappropriate language.  HSCI does not otherwise in any way edit or control Interactive Areas. We are not responsible or liable for any User Content that is posted or distributed and claims no proprietary rights of any kind arising from the posting or distribution of information or material to Interactive Areas. The views and opinions expressed by users are theirs alone, and are not endorsed by, and should not be ascribed to HSCI. You are solely responsible for all User Content you post, and you assume all risks relating to its use by others and others’ reliance on its accuracy. You retain copyright and any other rights you already hold to such User Content. By participating in any Interactive Area, you agree to comply in full with the Restrictions set forth below.

By posting User Content to the Site, you represent (i) that you have all necessary rights in and to such Content to post it on the Site; (ii) that the Content will not infringe on any personal or proprietary rights of any third parties; (iii) that the Content will not contain defamatory, indecent, or otherwise unlawful material; and (iv) that the Content will not contain any viruses or other destructive features.  You irrevocably waive any claim of moral right or attribution with respect to the User Content you post.  You understand that, in performing the required technical steps to operate the Site, we may transmit User Content over public networks and in various media and make such changes to User Content as are necessary to conform and adapt it to the technical requirements of connecting networks, devices or media.

Restrictions 
When using the Site, you agree to comply with the following restrictions:

•	Not to make comments that are threatening, knowingly false or unlawful;
•	Not to use foul language or engage in personal attacks.
•	Not to impersonate any person or entity or create a false identity on the Site.
•	Not to disseminate or transmit “spam,” unsolicited messages, chain letters,  advertisements, solicitations or unsolicited commercial communications such as communications describing investment opportunities.
•	Not to post material that infringes any copyright, trademark, patent, trade secret, privacy right or other legal right of any person or entity.
•	Not to collect, print, reproduce, distribute or otherwise make available or use any personally-identifiable information about other users. 
•	Not to disseminate or transmit viruses, Trojan horses, worms, defects, date bombs, time bombs, malware, spyware or other items of a destructive nature or any other malicious code or program.
•	Not to use any automated device or means to access, retrieve, scrape, or index any Site Content or User Content or attempt to gain unauthorized access to the Site or networks connected to the Site through hacking, password mining or any other means.  
•	Not to transmit or post illegal content, such as child pornography.

Registration
Certain areas of the Site require users to register and create a password-protected account in order to participate. The decision to register is optional; but if you elect not to register, you will not be able to access the content or features of these areas. When you register, you agree to provide information that is accurate, current and complete.

Privacy 
StemBook does not share or lend your email address or other information with or to other organizations. We store and may display the User Content you submit for the purpose you indicated upon submission.  When we display your User Content, we identify it with your username.  Any User Content posted may be viewed by any StemBook reader, whether he/she is a registered user of the site or not.  Please do not post any information or images that you do not want others to view or have access to. If you contact us to provide feedback of any kind or ask a question, we record your personal information and the content of you communication so that we can respond to you effectively.

We automatically collect in the aggregate non-personal information about our readers’ Internet use and preferences such as browser types, requested URLs, IP addresses and pages visited to monitor the effectiveness of the Site and make improvements.  Neither you nor other individual readers can be identified from this information.

We may disclose your account and other personal information to third parties if we believe, in good faith, that disclosure is necessary to (a) comply with the law (although not to contest the validity of any search warrant, subpoena or other governmental request we receive); (b) address suspected illegal activity; or (c) protect our rights, reputation and property, or that of our users, affiliates or the public. 
 
We take commercially reasonable precautions to protect the security of your personal information using industry standard measures of protection, but absolute security cannot be guaranteed.  It is up to you to protect against unauthorized access to your password and your computer.

Termination of Access
You are responsible for all actions that occur under your username and for keeping your password secure.  You agree to notify the StemBook Editor immediately (at the address provided below) of any unauthorized use of your account. We may refuse to grant you a username that impersonates someone else, is protected by trademark or other proprietary rights, or is offensive or otherwise inappropriate, as determined in our sole discretion. We reserve the right to terminate your account if we deem you to have violated these Terms of Use.  HSCI is not liable for any loss or damage arising from your failure to protect your password or account information.

No Endorsements 
Neither Site Content nor User Content necessarily reflects the views of HSCI.  HSCI makes no endorsement of any company or product mentioned on the Site, and references on the Site to companies or products are not linked to any corporate sponsorship.

Links to or from Other Sites
The Site contains links to or from websites operated by parties other than HSCI. These links are provided for reference only.  HSCI does not control these websites and are not responsible for their contents or the privacy or other practices of the websites.  Inclusion of links to or from websites does not imply HSCI or StemBook endorsement of any company or of material on the websites or any association with their operators.

No Medical or Health Advice
The Site is maintained for informational and educational purposes only.  Site Content and User Content should not be used to diagnose, direct treatment for, or give a prognosis for any health condition, or as a substitute for obtaining medical or other professional advice in a specific situation.  Always seek advice from a qualified health care professional about a medical concern, and do not disregard professional advice because of anything you read on the Site.

Disclaimer
HSCI disclaims all warranties, express or implied, in connection with the Site and your use thereof, including without limitation, warranties of title, non-infringement, merchantability and fitness for a particular purpose.  HSCI makes no representations or warranties (1) with respect to User Content or Site Content, which are provided on an "as is" basis; (2) that the information provided on the Site is accurate; (3) that services will be uninterrupted or error-free; or (4) that the Site or server that makes it available are free from viruses, worms or other harmful components.

Limitation of Liability 
IN NO EVENT WILL HSCI BE LIABLE TO YOU IN CONTRACT, TORT OR OTHERWISE, FOR ANY INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR YOUR USE OF THE SITE, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification
You hereby indemnify, defend and hold harmless HSCI and its affiliates, employees, faculty members, students, members of their governing boards and agents (collectively, the “Indemnified Parties”) from and against any and all claims, losses, liabilities, damages, costs and expenses, including without limitation reasonable attorneys’ fees (collectively, “Losses”), arising out of or relating to the breach or alleged breach by you or any user of your account of these Terms of Use. You agree to cooperate as fully as reasonably required in the defense of any such claim. HSCI reserves the right, at their own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

Copyright Compliance 
If you believe that any Site Content or User Content posted on this Site infringes your copyright or the copyright of another party, please send a written notice to the StemBook Editor (at the address below), and provide your name, contact information and a description of the infringement.

Governing Law
These Terms of Use are governed by and construed in accordance with the laws of The Commonwealth of Massachusetts and the parties agree to submit to the personal and exclusive jurisdiction of the courts located in Boston, Massachusetts.
